These Terms & Conditions (“Terms”) govern your use of the website at buildlending.com, including its forms, calculators, and online portals, and the phone, email, and text message (SMS) communications you receive from BL1, LLC, doing business as Build Lending (“Build Lending,” “we,” “us,” and “our”) (together, the “Services”). By using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Services.

1. Our services

Build Lending provides business-purpose real estate financing for real estate investors, builders, and developers, including fix and flip, bridge, ground-up construction, rental, and multifamily loans. Our loans are made only for business or commercial purposes and are secured by non-owner-occupied property. We do not offer loans for personal, family, or household purposes, or loans secured by a property you live in or intend to live in.

Loan programs, terms, and availability vary by state and may change at any time without notice. Some programs may not be available in your state.

2. Estimates are not offers

Calculators, estimates, rates, and terms shown on our website or in our communications, including “cash to close,” “estimated cash out,” and “rates as low as” figures, are for illustration only. They are based on the information you enter and on assumptions described where the estimate is shown. They are not an offer, approval, commitment to lend, or rate lock.

Any loan is subject to our review of your application, credit, experience, and property; appraisal, title, and other due diligence; underwriting approval; and signed loan documents. Not all applicants will qualify, and actual rates, fees, and loan amounts may differ from any estimate. A loan commitment is binding only when it is made in a written commitment or loan agreement signed by us.

3. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Services. If you use the Services on behalf of a company or other entity, you represent that you are authorized to act for it, and “you” includes that entity.

4. Information you submit

You agree that information you submit to us is true, accurate, and complete, and that you will update it if it changes while your request is pending. You may not submit information about another person or property unless you are authorized to do so.

You authorize us to use and share the information you submit to evaluate and process your request, including with lenders, capital partners, title companies, appraisers, and other parties involved in your transaction, as described in our Privacy Policy. We will ask for your separate authorization before obtaining your credit report.

Please do not send Social Security numbers, bank account numbers, or other sensitive financial information through our general website forms or by text message. We will provide a secure method when that information is needed.

5. Portal accounts

If you create a borrower or referral partner portal account, you are responsible for keeping your password confidential and for all activity under your account. Notify us right away at loans@buildlending.com if you believe your account has been accessed without your permission. We may suspend or close accounts that violate these Terms or that we believe are being used fraudulently.

6. SMS Terms of Service

By opting into SMS from a web form or other medium, you are agreeing to receive SMS messages from Build Lending. This includes conversational messages with our team and messages about your inquiry, loan, and account. Message frequency may vary. Message and data rates may apply. Program details

• Types of messages: conversational messages with our team; responses to your inquiries and quote requests; appointment and call reminders; document requests; application, loan status, and closing updates; construction draw updates; and account notifications. If you separately opt in, we may also send occasional information about our loan programs.
• How you opt in: by providing your mobile number on a form at buildlending.com that includes our text message consent language and submitting it, or by giving us written or verbal permission while working with our team. Consent to receive text messages is not a condition of applying for, obtaining, or purchasing any loan, product, or service.
• Message frequency: message frequency may vary based on your inquiry and loan activity.
• Cost: message and data rates may apply. Check your mobile plan for details.
• Opting out: to opt out at any time, text STOP in reply to any message. You will receive one message confirming your opt-out, and we will send no further texts unless you opt in again. You may also opt out by contacting us using the information below.
• Help: for assistance, text HELP, visit our website at www.buildlending.com, or email loans@buildlending.com.
• Carriers: wireless carriers are not liable for delayed or undelivered messages.
• Your number: you agree to provide only a mobile number that you own or are authorized to use, and to tell us if you change or give up that number.
• Privacy: SMS consent is not shared with third parties or affiliates. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. 7. Email and phone

By submitting your contact information through the Services, you agree that we may contact you by email and phone about your inquiry, request, loan, or account. You can opt out of marketing emails using the unsubscribe link in any marketing email, and you can ask us at any time to stop calling you. We may still send messages about an active inquiry, application, loan, or account.

8. Brokers and referral partners

If you submit a deal or refer a borrower to us as a broker or referral partner, you represent that you have the borrower’s permission to share their information with us and that you hold any license or registration required by law for your activities. Using the Services or creating a partner portal account does not create a partnership, agency, or employment relationship. Any compensation is payable only under a separate written agreement signed by Build Lending and only as permitted by applicable law.

9. Acceptable use

You agree not to:

• Submit false, misleading, or fraudulent information, or impersonate any person or entity.
• Use the Services for any unlawful purpose or in violation of any law or regulation.
• Submit spam, automated or bulk submissions, or use bots, scrapers, or similar tools to access the Services.
• Interfere with or disrupt the Services, or attempt to gain unauthorized access to any part of them, other accounts, or our systems.
• Upload viruses or other harmful code.
• Copy, modify, or reverse engineer any part of the Services except as permitted by law.

10. Intellectual property

The Services and their content, including text, graphics, logos, calculators, and software, are owned by Build Lending or its licensors and are protected by intellectual property laws. You may view and use the Services for your own business purposes in connection with seeking financing or partnering with us. You may not copy, distribute, or create derivative works from them without our written permission. “Build Lending” and our logos are our trademarks.

11. Third-party services

The Services may include features provided by third parties, such as address lookup and property images from Google Maps, and links to websites we do not control. Your use of those features and websites is subject to their own terms and privacy policies. We are not responsible for third-party content, services, or websites, including the accuracy of property images or address data.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY ESTIMATE OR INFORMATION IS ACCURATE OR COMPLETE.

Content on the Services, including educational content and webinars, is for general information only and is not legal, tax, accounting, investment, or financial advice. Consult your own advisors before making investment or financing decisions.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BUILD LENDING AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR ANY ESTIMATE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). These limits do not apply to any loan agreement you sign with us, which is governed by its own terms, or where prohibited by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Build Lending and its members, managers, employees, and agents from any claims, losses, liabilities, and expenses, including reasonable attorneys’ fees, arising out of your violation of these Terms, your misuse of the Services, or any information you submit, including information you submit about another person.

15. Governing law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law rules. You agree that any dispute arising out of or related to these Terms or the Services will be brought exclusively in the state or federal courts located in the City and County of Denver, Colorado, and you consent to the jurisdiction of those courts.

16. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the updated Terms on this page and change the “Last updated” date at the top. Your continued use of the Services after changes are posted means you accept the updated Terms. Changes will not apply retroactively to disputes that arose before the change.

17. General

These Terms and our Privacy Policy are the entire agreement between you and Build Lending about the Services, except that any loan, commitment, or partner agreement you sign with us is governed by its own terms. If any part of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of our business.
